Terms of Service

1. Acceptance of Terms

By accessing and using OTS Signs (“the Application,” “Service,” “we,” “our,” or “us”), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use the Application.

2. Description of Service

OTS Signs is a web-based digital signage management application for managing screens, schedules, media, and team access. The Service includes, but is not limited to:

Display management and monitoring
Schedule creation and management
User management with role-based access control
Media library management
Playlist and content organization
Display group management
Location-based display assignment

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account or be granted access by an administrator. You may create an account using local credentials or through Single Sign-On (SSO) authentication if configured by your organization.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

Use a strong, unique password
Not share your account credentials with others
Notify us immediately of any unauthorized use of your account
Log out from your account at the end of each session

3.3 User Roles

The Application supports configurable user roles with varying levels of access and permissions. Common template roles include Viewer, Editor, Manager, and Admin. Your assigned role determines what actions you can perform within the Application.

4. Acceptable Use Policy

You agree not to use the Application to:

Violate any applicable laws or regulations
Infringe upon the rights of others
Upload, transmit, or distribute any harmful, offensive, or illegal content
Attempt to gain unauthorized access to any portion of the Application
Interfere with or disrupt the integrity or performance of the Application
Reverse engineer, decompile, or disassemble any software or components
Use automated systems or bots without authorization
Circumvent any security features or access controls
Upload malware, viruses, or other malicious code
Harass, threaten, or harm other users

5. Content and Media

5.1 User Content

You retain ownership of any content, media, or materials you upload or create through the Application (“User Content”). By uploading User Content, you grant us a license to use, store, display, and transmit such content solely for the purpose of providing the Service.

5.2 Content Responsibility

You are solely responsible for all User Content you upload or manage through the Application. You represent and warrant that:

You own or have the necessary rights to use and distribute the User Content
Your User Content does not violate anyone else’s rights
Your User Content complies with all applicable laws and regulations
Your User Content does not contain any illegal, harmful, or offensive material

5.3 Content Removal

We reserve the right to remove or disable access to any User Content that violates these Terms or is otherwise objectionable, without prior notice.

6. Connected Services

OTS Signs may connect with services used by your organization to provide sign-in, hosting, support, or digital signage functionality. Those connected services may have their own terms and privacy policies.

7. Intellectual Property

7.1 Our Rights

The Application and its original content (excluding User Content), features, and functionality are owned by us and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Application for its intended purpose, subject to these Terms.

8. Privacy

Your use of the Application is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your information.

9. Notices, Enforcement & Contact

If you need to provide a legal notice, report abuse, or request takedown of content, contact your system administrator or OTS Signs support at [email protected].

10. Governing Law & Jurisdiction

These Terms are intended to be applied in the jurisdiction where your organization operates. Your organization may specify additional jurisdiction details in its customer agreement. Contact your administrator or OTS Signs support at [email protected] for details.

11. Disclaimer of Warranties

THE APPLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

The Application will be available at all times without interruption
The Application will be error-free or that defects will be corrected
The Application will meet your specific requirements
Any information obtained through the Application will be accurate or reliable

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your access to or use of, or inability to access or use, the Application
Any conduct or content from another person or organization on the Application
Any content obtained from the Application
Unauthorized access, use, or alteration of your transmissions or content

13. Indemnification

You agree to indemnify, defend, and hold harmless OTS Signs, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with:

Your access to or use of the Application
Your violation of these Terms
Your User Content
Your violation of anyone else’s rights

14. Termination

We may terminate or suspend your account and access to the Application immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Application will immediately cease. If you wish to terminate your account, you may contact your system administrator.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Application after revisions become effective, you agree to be bound by the revised terms.

16. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Application shall be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration or in the courts of the jurisdiction in which your organization operates.

17. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms constitute the entire agreement between you and OTS Signs regarding the use of the Application and supersede any prior agreements between you and OTS Signs relating to your use of the Application.

By using OTS Signs, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
